GENERAL TERMS AND CONDITIONS OF SALES
These general terms and conditions govern the terms and conditions under which "Light On Engineering" EOOD, UIC 206642661, with headquarters and management address: Sofia, Srebarna St. No. 27B, represented by Mihail Marinov Mihaylov, enters into contracts for the order of autonomous security "HELPER GUARD" machine.
I. Concepts
1. "Contractor" is "Light On Engineering" EOOD, UIC 206642661, with headquarters and management address: Sofia, Srebarna St. No. 27B,
2. "Employer" is any natural or legal person who commissions the Contractor to manufacture, at his own expense and at his own risk, a "HELPER GUARD" autonomous security machine.
3. "HELPER GUARD" is an autonomous security machine (for short, "the machine") that guards the monitored perimeter and notifies in the event of the appearance of an intruder.
4. "HELPER GUARD extension" represents an additional adaptation of the technical capabilities of the machine according to the individual needs of the CONTRACTOR.
II. "HELPER GUARD" production and delivery
1. With the signing of a contract for the order of an autonomous security machine "HELPER GUARD" (for short "the Contract"), the Employer assigns the Contractor, and the Contractor agrees to manufacture an autonomous security machine - "HELPER GUARD" for a fee.
2. The contractor provides the necessary components for fabrication at his own risk and expense.
3. The contractor manufactures the machine within the time period agreed with the Employer, which starts from receipt of advance payment under the concluded contract.
4. The right of ownership of the machine and the risk of its destruction pass to the Employer upon its handover by the Contractor, respectively its acceptance by the Employer, which fact the parties certify by signing the handover protocol.
5. The contractor can deliver the machine to the delivery address specified in the Contract, where he also conducts instruction on the use of the machine.
6.1. On the territory of the city of Sofia and the city of Yambol and within a radius of up to 30 km from the city of Sofia and up to 30 km from the city of Yambol, the delivery of the machine is carried out entirely at the Contractor's expense.
6.2. For delivery outside the territory of the city of Sofia and the city of Yambol, respectively for settlements located at a distance of more than 30 km from the city of Yambol and the city of Sofia, the delivery of the machine is carried out against an additional payment of BGN 0.90 . per kilometer, counted from the town of Yambol.
7. At the request of the Contracting Authority, the machine can be further developed and adapted according to the security needs of a specific object.
8. In the cases under item II. 7 of these general conditions, the Contractor performs an on-site inspection of the object to be guarded and prepares an individual price offer.
9. After acceptance of the offer under item 8 by the Contracting Authority, the parties conclude a contract in accordance with the individual arrangements and the accepted offer.
10. In the cases under item II.9 of these general conditions, the delivery of the machine, resp. of additional components, if any, is carried out by the Contractor.
11. The Contractor notifies the Employer that the machine has been manufactured by phone or email.
12. The Contractor hands over the machine to the Employer within 10 working days from the date of receipt of the final payment. Depending on the delivery schedule, the Contractor has the right unilaterally and once to extend the deadline according to the previous sentence by 5 working days.
III. RIGHTS AND OBLIGATIONS OF THE AUTHOR
1. THE AUTHOR must:
- to pay the agreed remuneration to the CONTRACTOR under the terms of the concluded contract;
- to observe the deadlines for payment of the CONTRACTOR's remuneration;
- to accept the manufactured machine after it meets the technical functionalities, according to the instructions for use and works according to its technical purpose;
- to use the machine according to its technical purpose and the instructions for use;
- if necessary, to provide assistance and provide the necessary information to the Contractor;
2. Upon receipt of the machine, the CONTRACTING PARTY is obliged to immediately inspect it and in the event that it finds obvious defects, the absence of any of the requested components, if there are any additionally requested, and/or any of the documents required by Bulgarian legislation, immediately inform the person making the delivery. If he fails to do so, the machine is deemed to have been approved, and the buyer loses the right to later claim that the machine was delivered with manifest defects, the absence of any of the accompanying components, if any, and/or any to be among the documents required by Bulgarian legislation.
3. The CONTRACTING PARTY accepts the manufactured "HELPER GUARD" machine, personally or through its authorized representative, as the handover by the CONTRACTOR, respectively its receipt by the CONTRACTING PARTY, is certified by a handover protocol signed by each of the parties.
IV. RIGHTS AND OBLIGATIONS OF THE CONTRACTOR
1. The contractor is obliged to manufacture the machine according to the technical parameters agreed with the Contracting Authority, and it should meet the technical functionalities according to the instructions for use and work according to its technical purpose
2. The contractor is obliged to manufacture the machine within the period agreed with the Contracting Authority, which starts from receipt of advance payment under the concluded contract.
3. The contractor shall not be liable in case of delay in the manufacture of the machine due to force majeure circumstances, delayed deliveries of components for manufacture, any extraordinary events beyond his control.
4. In the event that the Employer assigns further development and adaptation of the machine, in accordance with the needs for security of a specific object, the Contractor has the right to request additional information about the features of the protected object.
5. The contractor delivers the machine with instructions for use.
6. In the cases in which the CONTRACTOR delivers the machine, the latter performs an on-site instruction and demonstration of its operation, which the parties certify in the handover protocol.
7. The CONTRACTOR is obliged to notify the CONTRACTOR by e-mail or telephone that the machine has been manufactured.
V. WARRANTIES and CLAIMS
1. The CONTRACTOR guarantees the quality of the components inserted into the machine, according to their technical specification, within the warranty periods indicated by the manufacturer of the relevant component, with proper operation by the CONTRACTING PARTY.
2. In the event that within the warranty period specified by the manufacturer of the respective component, with proper operation, the component is damaged, the CONTRACTOR provides full assistance in replacing the latter.
3. Outside the warranty period specified by the manufacturer of the relevant component, the CONTRACTOR may provide assistance in replacing the latter, as the cost of the component/components, as well as all replacement costs, including logistical and organizational costs, are borne by the Contracting Authority.

VI. FINAL PROVISIONS
1. The provisions of the current Bulgarian legislation shall apply to issues not settled by these General Terms and Conditions.
2. The judicial declaration of the nullity of one or more provisions of these General Terms and Conditions does not entail the nullity of the others.
3. Disputes arising in connection with these General Terms and Conditions shall be resolved by the competent court in the Republic of Bulgaria.
4. The contractor reserves the right to change these General Terms and Conditions at its discretion, with the changes coming into effect from the moment of their publication and having effect going forward.
5. In the relations between the Supplier and the User, arising in connection with a purchased service, these General Terms and Conditions apply, which were in effect at the time of the purchase of the latter and which the User has expressly accepted. In all other cases, in the relationship between the Provider and the User, the General Terms and Conditions, announced on this web page and effective at the time of using the site, apply.
